S&P Global announced on September 17 that it will acquire OpenZeppelin, a firm specializing in smart contract security, as part of a broader effort to expand its digital asset services. The acquisition will allow OpenZeppelin to operate as a distinct business unit under its existing leadership, with Chief Executive Demian Brener continuing to report to Yann Le Pallec, President of S&P Global Ratings. Financial terms of the transaction were not disclosed, and the deal remains contingent on customary closing conditions.

OpenZeppelin’s open-source contracts have underpinned more than $37 trillion in transferred value, and the company has completed over 900 security engagements, identifying more than 10,000 vulnerabilities prior to deployment. Its libraries are widely used across blockchain applications, and its audit and engineering teams regularly review smart contracts before they go live. Following the acquisition, OpenZeppelin has said it will maintain its open-source contracts as free, publicly accessible software, continuing to release future versions without charge.

The move reflects growing demand for infrastructure that supports markets operating around the clock. S&P has been building a suite of tools for institutions navigating 24/7 blockchain environments, including data feeds, benchmarks, and risk assessment frameworks. The company previously led a $110 million strategic investment in Kaiko, a crypto data provider, and has integrated its pricing and valuation systems with traditional financial benchmarks such as the iBoxx US Treasuries Index.

By incorporating OpenZeppelin’s technical expertise, S&P aims to address risks tied to the software layer of tokenized assets, including stablecoins and decentralized finance platforms. While tokenized funds and digital assets continue to face challenges related to issuer reliability, collateral, and liquidity, their operation increasingly depends on smart contracts and blockchain infrastructure, which introduce distinct technical vulnerabilities. S&P’s president noted that the company’s digital assets strategy focuses on delivering trusted data, benchmarks, and transparent risk evaluation to markets as they shift onto blockchain networks.

The acquisition is not expected to have a material impact on S&P’s financial results in the near term. Instead, the emphasis is on expanding capabilities to serve banks, asset managers, and other institutions that are increasingly engaging with blockchain-based financial products. OpenZeppelin’s leadership believes the partnership will help scale its services to a wider range of financial organizations adopting blockchain technology.
