Meta announced plans to issue a new class of non-voting shares to support its growing artificial intelligence initiatives. The company disclosed the proposal during its third-quarter earnings release, stating that the shares would be distributed to existing shareholders as a stock dividend.

Chief Financial Officer Susan Li explained that the move would establish a publicly traded non-voting stock class for capital raising, employee compensation, acquisitions, and other corporate needs while maintaining the voting influence of current Class A and B shareholders. This structure aims to preserve Meta's founder-led governance model.

The company reported $64 billion in revenue for the quarter, up 26% from the previous year, though operating costs increased 68% year-over-year. Meta's Reality Labs division, which develops AR glasses and VR headsets, continues to operate at a loss but showed improved performance compared to earlier projections, with expected 2025 losses narrowing to between $18 billion and $19 billion.

Meta has accelerated its artificial intelligence development over the past year, releasing multiple models including Muse Spark, Muse Glimmer, Muse Wonder, and Muse Spark Open. The company also introduced Muse Code, an AI coding assistant for developers, and unveiled new avatar designs for its Meta Muse AI service during the Meta Connect event. According to CEO Mark Zuckerberg, over 10 million users in the U.S. and Canada have created personal AI agents through the platform within six weeks of launch, with the service maintaining top App Store rankings.

Zuckerberg stated that the company has reached product-market fit with its AI offerings and is now focusing on scaling infrastructure to serve billions of users. He emphasized that AI development represents "unprecedented momentum" across Meta's business operations.

Li noted that the company remains attentive to regulatory and legal challenges that could affect business outcomes, particularly ongoing scrutiny related to youth safety issues in multiple markets, with several related trials scheduled in the United States.

The new stock class will provide additional financial flexibility as Meta expands its AI investments, which include both consumer-facing applications and foundational model development. This financial strategy enables continued funding for AI research and product deployment while maintaining existing shareholder voting power structures.
