The TikTok US joint venture, TikTok USDS Joint Venture LLC, completed its formation on schedule in December, meeting the requirements of the 2024 divest‑or‑ban law signed by President Biden. ByteDance’s ownership in the venture was reduced to 19.9 percent to comply with the law, while the remaining 80.1 percent was allocated to a group of investors. The investors consist of Silver Lake, Oracle, and MGX, each holding a 15 percent stake, and include Michael Dell’s family office, Vastmere Strategic Investments, Alpha Wave Partners, Revolution, Merritt Way, Via Nova, Virgo LI, and NJJ Capital. The venture’s board comprises seven members, including TikTok US CEO Shou Zi Chew and former TikTok operations chief Adam Presser, who now serves as CEO. The joint venture will manage data protection, algorithm security, content moderation, and software assurance for TikTok, CapCut, Lemon8, and other affiliated apps, allowing U.S. creators and businesses to operate on a global scale. U.S. user data will be stored in Oracle’s secure U.S. cloud environment, and the venture will maintain a cybersecurity program that is audited against NIST CSF, NIST 800‑53, ISO 27001, and CISA security requirements. The recommendation algorithm will be retrained, tested, and updated using U.S. user data within the same cloud environment. The venture will apply software assurance protocols, reviewing and validating source code continuously with Oracle as the trusted security partner. It will enforce trust and safety policies and content moderation for the U.S. content ecosystem.
