Alex Mashinsky, the founder of the now-defunct crypto lender Celsius Network, has consented to a permanent prohibition from participating in securities, commodities or cryptocurrency markets as part of a New York state settlement revealed on October 9. The accord also imposes conditional financial obligations of up to $35 million, though it does not generate additional distributions to Celsius’s creditors. The agreement terminates a civil lawsuit that New York filed in January 2023 and layers state-level requirements onto a separate federal criminal proceeding. Mashinsky remains incarcerated, serving a 12-year prison term handed down after a May 8, 2025 sentencing.

The settlement outlines two distinct payment conditions tied to the $35 million ceiling. First, New York seeks $25 million in damages; paragraph 2 of the annexed consent order states that this amount is satisfied if Mashinsky transfers $10 million to the U.S. Department of Justice under the terms of his federal forfeiture order. Payments made to the DOJ after May 20, 2025 may count toward that $10 million on a dollar-for-dollar basis. Should the required payment not materialize, the New York Attorney General retains the right to collect the full $25 million. Second, a separate $10 million judgment must be satisfied by the completion of Mashinsky’s federal prison term imposed on May 12, 2025, subject to narrow exceptions such as a court-ordered sentence reduction or specific early-release mechanisms including compassionate release, earned-time credits or home confinement under the First Step Act. These exceptions are explicitly enumerated in paragraph 3 of the order.

Beyond monetary provisions, the settlement imposes a sweeping industry ban that New York describes as permanent. The restrictions bar Mashinsky from engaging in any capacity within securities or commodities businesses, including brokerage, advisory, management, officer or consulting roles, and prohibit him from offering investment advice for compensation. An exception permits personal purchases or sales of crypto assets owned by him. The agreement also documents Mashinsky’s admission that he misrepresented Celsius’s regulatory standing and sold his own CEL token to investors. According to the attorney general’s office, Celsius had distributed more than $3.4 billion to creditors by August 2026, though the settlement’s terms do not automatically validate any portion of that distribution.

The deal follows Mashinsky’s May 8, 2025 sentencing in federal court, where a $48.4 million forfeiture order was entered. While the settlement’s conditional payments could fulfill one state obligation, they do not independently satisfy all creditor claims. The arrangement underscores the intersection of criminal penalties, civil restitution and regulatory enforcement targeting former executives of collapsed crypto enterprises.
