Strategy announced on Monday via an SEC filing that it has adopted a Digital Credit Capital Framework, which includes a Bitcoin monetization program, a dividend increase to 12% annually, and authorization of share buybacks while maintaining its long‑term Bitcoin strategy. The company reported a cash reserve of $2.55 billion, sufficient to cover about 17 months of preferred stock dividends and interest payments, and said the reserve must be kept at a minimum of 12 months unless the board approves otherwise. The filing indicates the firm may sell up to $1.25 billion worth of Bitcoin to fund dividend payments, debt costs, and stock repurchases. It added that it did not acquire any Bitcoin during the week ended Sunday, leaving its holdings unchanged at 847,363 BTC, valued at roughly $64.1 billion. Strategy also raised about $1.15 billion by selling 12.67 million shares of its common stock. Executive chairman Michael Saylor said the cash reserve combined with the monetization capacity provides up to $3.8 billion in dividend coverage, or nearly 26 months. The dividend rate was raised from 11.5% to 12%, and separate buyback programs were approved for preferred securities and its Class A common stock. The company’s MSTR shares have fallen about 50% year‑to‑date, and the preferred stock price dropped to $71.25, a 28.75% discount to par. The framework does not include additional Bitcoin purchases, and the board said it will remain disciplined in issuing new shares when the stock trades near one times its net asset value.
